SafeGuard Contract

WordPress SafeGuard Management Service Contract

This Service Contract ("Contract") is made and entered into as of:

1. Definitions

1.1 "Services" refers to the WordPress Management Services, and all tasks as outlined in this SLA.

1.2 "Parties" refers to Web World and the client as listed above.

1.3 "Deliverables" refers to the specific outputs and results provided to the Client as part of the Services.

1.4 "Agreement" refers to this Contract and any subsequent amendments or addenda agreed upon by both Parties.

2. Scope of Services

2.1 WordPress Management Services:

  • Managed Hosting: Dedicated hosting on a Wordpress
  • Core Updates: Regular updates to the WordPress core, plugins, and themes.
  • Security Monitoring: Continuous monitoring and implementation of security measures.
  • Performance Optimization: Enhancements to website speed and performance.
  • Backup and Restore: Regular backups and data recovery solutions.
  • Technical Support: Ongoing technical support for troubleshooting and maintenance.
  • Content and Image Updates: Updates to website content and images as requested by Client.
2.2 Consulting Services:

  • Website Strategy Consulting: Evaluation and recommendations for website improvements.
  • Content Strategy Consulting: Development of a content strategy aligned with business goals.
  • Performance and Security Consulting: Analysis and recommendations for site performance and security.
  • Digital Marketing Consulting: Guidance on digital marketing strategies and integration.

3. Responsibilities of Web World

  • Deliver the Services outlined in this Contract in a professional and timely manner.
  • Provide regular updates and reports on the progress of the Services.
  • Ensure all updates and changes are tested and verified before implementation.
  • Maintain open communication with the client regarding any issues, changes, or delays.

4. Responsibilities of the client

  • Provide Web World with the necessary access, information, and resources to perform the Services.
  • Approve or request revisions to deliverables within the agreed timeline.
  • Ensure that all content and images provided comply with legal and ethical standards.
  • Communicate any changes in business objectives, requirements, or priorities.

5. Payment Terms

Fees: the Client agrees to pay Web World the agreed-upon fees for the Services. Fees are detailed in the invoice and quote sent to the client.

Payment Schedule: Payment will be made anually in advance, with invoices issued on the first of the month. The service will automatically default to start the first day of the next month.

Late Payment: Payments not received within 15 days of the due date may incur a late fee of 2%.

6. Term and Termination

Term: This Contract is effective as of the date of this agreement and will remain in effect for a period of 12 momths.

Renewal: This Contract will auto renew. An invoice for the next 12 months will be sent during the last month of the existing term

Termination: Either party may terminate this Contract with 30 days' written notice. Upon termination, Web World will provide the client with all data and documentation necessary for the transition.

7. Confidentiality

Both Parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the term of this Contract.

Confidential information shall not be disclosed to third parties without prior written consent from the disclosing Party.

8. Limitation of Liability

Web World shall not be liable for any indirect, incidental, or consequential damages arising out of or related to the Services provided under this Contract if the website is hosted with a 3rd party, and this 3rd party is the cause of the damage(s).

The total liability shall not exceed the total amount paid by The Client's for the Services rendered.

9. Governing Law

This Contract shall be governed by and construed in accordance with the laws of Ontario and/or Quebec, without regard to its conflict of law principles.

10. Amendments

Any amendments or modifications to this Contract must be made in writing and signed by both Parties.
